GENERAL TERMS AND CONDITIONS OF SALE<\/h1>\n

Pop translation is a brand of the company L’oeil pop. Pop translation offers customers
\nindividuals or professionals (referred to as “Clients” or “Customer”) to purchase
\nservices related to documents or website content (referred to as “Content” or
\n“Content”), specifically to have such Content translated, corrected or written (these three terms
\nbeing referred to as “Services”) by authors qualified by Pop Translation (hereinafter the
\n“Author(s)”).<\/h6>\n
Use of the Services and websites provided by Pop translation (referred to as “L’oeil Pop”, “Pop
\ntranslation”,
\n“poptranslation.com”) by you (referred to as “customer”, “you”) is subject to these Terms
\nand Conditions (referred to as “Terms”) as well as the translation Privacy Policy of Pop
\ntranslation.<\/h6>\n
Pop Translation and the Customer hereinafter collectively referred to as the “Parts” and individually a
\n“Part”.<\/h6>\n

1) Acceptance of the Conditions<\/h4>\n

Your consultation of this website or your validation of a quotation for the Services offered on it
\nconstitutes acceptance of these conditions. If you are ordering Services on behalf of a
\ncompany or other legal entity, you must be the legal representative of that entity, or have
\nthe express authority to do so.<\/h6>\n
In the event of a breach of these Terms or any other rights held by Pop Translation,
\nwe reserve the right to take any action necessary to protect our
\ninterests.<\/h6>\n
Pop Translation reserves the right to change these Terms at any time. In this
\ncase, we will immediately put the new Terms online. Your actual use
\nof the Services offered by Pop Translation after publication of the updated Terms will constitute
\nyour full and complete acceptance of them.<\/h6>\n
This document is the original French version of the Terms and Conditions of Pop
\ntranslation In case of contradiction between this text and one of the translations available on
\nPop Translation’s language versions, the French version will prevail.<\/h6>\n

2) Description of the Services<\/h4>\n

    TRANSLATION SERVICE<\/em><\/h6>\n<\/li>\n<\/ul>\n
    Translation is a service that provides content in one language from original content
    \nwritten in a different language. As far as possible and taking into account the
    \ncultural and linguistic subtleties of the language in question, Pop Translation is committed to
    \npreserving as fully as possible the general spirit, the organisation of the
    \ninformation and the type of vocabulary used.<\/h6>\n
      \n
    • \n
      CORRECTION SERVICE<\/em><\/h6>\n<\/li>\n<\/ul>\n
      Correction is a service allowing the client to submit content to correct
      \nall errors and defects. Proofreading looks at the vocabulary, grammar, spelling,
      \npunctuation and syntax used. He may also request changes to the
      \nstructure and style of the Content, provided that he selects the appropriate offer. Otherwise,
      \nPop Translation shall not be obliged to make any changes to the structure and style of the Content.
      \nIf the Customer so wishes, he may ask Pop Translation to limit its control to one or more of
      \nthese points. In this case, it should be explained as clearly as possible in the initial application that
      \ndefines the project.<\/h6>\n

        TRANSCRIPTION SERVICE<\/em><\/h6>\n<\/li>\n<\/ul>\n
        Transcription is a service that allows us to transcribe all the information coming from a
        \nvideo or audio file, whether this file is in digital format or not, to obtain a text file.<\/h6>\n

         <\/p>\n

          2.1) Translation and Correction Service<\/strong><\/h6>\n<\/li>\n<\/ul>\n
          The Client may submit to Pop translation a document and add explanations to
          \nguide Pop translation in its mission (hereafter defined together as “Initial Request”).
          \nThe Customer expressly acknowledges that Pop translation’s fee is based on the number of words
          \nestimated by Pop translation or communicated by the Customer at the time of the Initial Request and not the
          \nfinal number of words communicated by Pop translation to the Customer after execution of the Service.<\/h6>\n

            2.2) All Services<\/strong><\/h6>\n<\/li>\n<\/ul>\n
            Pop Translation will use its best endeavours to deliver a quality Service in accordance with the Customer’s
            \nInitial Request.<\/h6>\n

            • \n
              2.3) Ordering rule<\/strong><\/h6>\n<\/li>\n<\/ul>\n
              The Customer must never :<\/h6>\n
                \n
              • \n
                to order a text that can infringe the universal and individual rights of a legal or natural person;<\/h6>\n<\/li>\n
              • \n
                ask Pop Translation to make defamatory or insulting remarks about a natural or legal person, living or dead;<\/h6>\n<\/li>\n
              • \n
                order Content that is contrary to public decency, that promotes violence, hatred or racism or that is considered illegal or contrary to public order;<\/h6>\n<\/li>\n
              • \n
                requesting the translation of works (e.g. a book) subject to copyright.<\/h6>\n<\/li>\n<\/ul>\n

                  2.4) Content<\/strong><\/h6>\n<\/li>\n<\/ul>\n
                  Vous reconnaissez \u00eatre seul responsable des documents et informations que vous communiquez \u00e0 PopYou acknowledge that you are solely responsible for the documents and information you provide to Pop
                  \ntranslation<\/h6>\n
                  You agree to transmit only Content that is accurate and not
                  \ndefamatory; that you own all rights to, including intellectual property rights; or, alternatively,
                  \nthat you are free to use in connection with the Pop Translation Services;
                  \nfree of any virus, script or program whatsoever; respecting any legislation in force.<\/h6>\n
                  In addition, Pop Translation reserves the right to:
                  \nto refuse the processing of your Content or to process it after minor corrections or modifications
                  \n;<\/h6>\n
                  Pop Translation makes every effort to process your Content as quickly as possible. Any error
                  \ndetected in your Content cannot be corrected by Pop Translation.<\/h6>\n
                  The Content you publish must not under any circumstances indicate contact details (name, email address, telephone or fax number, postal address, etc.) enabling the Translators to
                  \ncontact you or to identify you directly or indirectly.<\/h6>\n
                    \n
                  • \n
                    2.5) Time limits for the provision of services<\/h6>\n<\/li>\n<\/ul>\n
                    Unless expressly agreed between the Parties, Pop Translation makes no commitment as to the time frame for
                    \ncompletion of the Services.<\/h6>\n
                    Indeed, the deadlines indicated on the Pop translation website are indicative and depend on various
                    \nelements on which Pop translation cannot make any commitment, for example the volume of the
                    \nContent of a project, the complexity of the subject dealt with, the availability of the Authors etc.<\/h6>\n
                    However, Pop Translation undertakes to use all possible means to satisfy the
                    \nCustomer’s request as soon as possible.<\/h6>\n
                      \n
                    • \n
                      2.6) Content validation<\/h6>\n<\/li>\n<\/ul>\n
                      The Customer has a period of 15 calendar days from the submission of a Content by Pop
                      \nTranslation to check the conformity of this Content to its Initial Request.
                      \nOtherwise, the Content submitted by Pop Translation shall be deemed to be accepted by the Customer
                      \nwithout reservation. The application of this condition is strictly irrevocable.
                      \nIf you feel that the Content submitted does not fully meet your expectations, you may
                      \nrequest a review from Pop Translation. In this context, you undertake to be as precise
                      \nas possible in your exchanges with Pop Translation to facilitate the recovery of the Content.<\/h6>\n
                      In the context of an application for review, it is understood that, with respect to such exchanges :<\/h6>\n
                        \n
                      • \n
                        If the Customer believes that Pop Translation has not complied with its Initial Request, it may reject<\/h6>\n
                        Content. The opening of a refusal procedure implies the control of a third party moderator who will<\/h6>\n
                        examine the relevance of the Customer’s refusal.<\/h6>\n<\/li>\n
                      • \n
                        If the moderator considers that the Client’s refusal is justified, the order will be reissued immediately<\/h6>\n
                        to a new translator at no extra cost to the Client;<\/h6>\n<\/li>\n
                      • \n
                        If the moderator rejects the Client’s request, the Content may be considered validated, or the<\/h6>\n
                        moderator may ask Pop Translation to apply some modifications to bring the Content<\/h6>\n
                        into compliance with the Client’s Initial Request.<\/h6>\n<\/li>\n
                      • \n
                        2.7) Downloading the translated Content<\/h6>\n<\/li>\n<\/ul>\n
                        Once the production is completed and the Client’s validation is received, the produced and validated content will be
                        \nsent to the Client and will remain available for a minimum period of 12 months.
                        \nIn no case shall Pop Translation be required to develop specific tools and services
                        \nto adapt the document format to the Customer’s system.<\/h6>\n
                          \n
                        • \n
                          2.8) Confidentiality<\/h6>\n<\/li>\n<\/ul>\n
                          Pop Translation will use its best efforts to ensure the confidentiality of your Content.
                          \nIndeed, all Pop Translation translators are subject to a confidentiality agreement.<\/h6>\n

                          3) Payment and billing<\/h4>\n
                            \n
                          • \n
                            3.1) General<\/h6>\n<\/li>\n
                          • \n
                            3.1.1) Tariffs<\/h6>\n<\/li>\n<\/ul>\n
                            The tariff applicable between the Parties is indicated and specified to the Client at the time of the Initial Request
                            \non Pop Translation.<\/h6>\n
                              \n
                            • \n
                              3.1.2) Reference currency: the Euro<\/h6>\n<\/li>\n<\/ul>\n
                              The reference currency for Pop Translation is the Euro (\u20ac).<\/h6>\n
                                \n
                              • \n
                                3.1.3) Terms of payment<\/h6>\n<\/li>\n<\/ul>\n
                                You can pay Pop Translation invoices by bank transfer.<\/h6>\n
                                Pop translation provides an invoice for each purchase made by the Customer. This
                                \ninvoice serves as proof and will be used as a reference in the event of any accounting disagreement
                                \nbetween Pop Translation and the customer.<\/h6>\n
                                  \n
                                • \n
                                  3.1.4) Payment deadlines<\/h6>\n<\/li>\n<\/ul>\n
                                  Pop Translation’s invoices are payable on receipt or, where applicable, within the agreed period
                                  \nwith Pop translation.<\/h6>\n
                                  For any sum not paid on the due date, Pop Translation reserves the right to
                                  \ncharge the Customer default interest corresponding to the interest rate applied by the European
                                  \nCentral Bank to its most recent refinancing operation plus ten (10) percentage
                                  \npoints, calculated and cumulated from the first day of delay.<\/h6>\n

                                  4) Copyright and exploitation rights<\/h4>\n
                                    \n
                                  • \n
                                    TRANSLATION AND PROOFREADING SERVICE<\/em><\/h6>\n<\/li>\n<\/ul>\n
                                    Pop translation assigns to the Customer without time limit and for the whole world the following rights on the
                                    \nContent produced by Pop translation.<\/h6>\n
                                      \n
                                    • \n
                                      4.1) Reproduction rights :<\/h6>\n<\/li>\n<\/ul>\n
                                      Create and distribute any copy of the work, whether direct or
                                      \nindirect, temporary or permanent, in whole or in part;<\/h6>\n
                                        \n
                                      • \n
                                        4.2) Exploitation rights :<\/h6>\n<\/li>\n<\/ul>\n
                                        Use, distribute, modify, translate, adapt, monetise, record,
                                        \ndeposit and exploit the Content on all existing and future media (website, DVD, advertising
                                        \nbrochure, press release, etc.);<\/h6>\n
                                          \n
                                        • \n
                                          4.3) Rights of communication to the public :<\/h6>\n<\/li>\n<\/ul>\n
                                          To represent and exploit the text on a medium of any type
                                          \nand any form (physical, digital, etc.) that can be seen by anyone, anywhere, without limits.<\/h6>\n

                                          5) Evidence agreement<\/h4>\n

                                          n accordance with Article 1367 of the French Civil Code, by ticking the box by which the Customer acknowledges
                                          \nacceptance of these Terms, the Customer acknowledges that his agreement constitutes an electronic
                                          \nsignature with respect to Pop Translation which has, between the parties, the same value as a handwritten
                                          \nsignature.<\/h6>\n
                                          More generally, the Customer acknowledges that any document having been the subject of this procedure
                                          \nconstitutes literal proof as well as, including outside such a procedure, any electronic
                                          \nmail exchanged between Pop Translation and the Customer, so that any correspondence or agreement
                                          \nproduces its legal effects on the transaction in question in the same way as those subject to a
                                          \nhandwritten signature.<\/h6>\n
                                          In the absence of proof to the contrary recognised as valid by a court, any electronic mail exchanged between
                                          \nPop Translation and the Customer is opposable not only respectively, but also with
                                          \nregard to any third party beneficiary with the same evidential force as a written document on paper.<\/h6>\n

                                          6) General provisions<\/h4>\n

                                          Pop Translation reserves the right to change the content and specifications of the Services at
                                          \nany time without notice.<\/h6>\n
                                          Pop Translation may work with third party companies to provide its Services to you.
                                          \nYou agree that these companies may provide the Services to you on behalf of Pop Translation.
                                          \nYou agree to receive electronic communications from Pop Translation at the
                                          \nemail address you provided when you registered. You can change this address or
                                          \nrefuse to receive commercial prospecting at any time on your user interface.<\/h6>\n
                                          You acknowledge that you are solely responsible for all activity on your account, and agree to
                                          \ncomply with all applicable laws in connection with your use of the Services.<\/h6>\n
                                          These Conditions are governed by French law. You and Pop Translation agree to
                                          \nsubmit any dispute arising from these Terms to the exclusive jurisdiction of the French
